Terms of sale

1. Scope

These general terms of sale (the “Terms”) apply to all services provided by Agence 1600, SASU, 61 rue de Lyon, 75012 Paris, RCS Paris 930 413 885 (“1600”), to its clients. They form the sole basis of the commercial relationship, in accordance with Article L.441-1 of the French Commercial Code, and prevail over any other document of the client, including purchase terms.

Our services are reserved for professionals: companies, organisations and individuals acting for business purposes.

2. Services

1600 produces videos for companies, in particular launch videos, product explainers and feature videos, in animation (motion design) or live action, with their adaptations (formats, languages, variants). The content of each project is set out in its quote.

3. Quote and order

Each project is the subject of a detailed quote stating the deliverables, the price, the schedule, the number of feedback rounds and the deposit. A quote is valid for [30 days, to be confirmed]. The order is final once the quote is signed and the deposit received; production only starts at that point. Any additional request is the subject of a separate quote.

4. Production, feedback and delivery

The client provides on time the information, files and approvals needed for the project (brief, brand assets, product access, feedback). Each stage (script, storyboard, video) is submitted for the client’s approval. The number of feedback rounds included is stated in the quote; further rounds or changes to an approved stage are invoiced separately.

Delivery dates are given for information and depend on the client’s responsiveness. A delay caused by the client postpones delivery accordingly. The video is deemed accepted if the client raises no objection within [8 days, to be confirmed] of delivery.

5. Prices and payment

Prices are in euros [excluding VAT, to be confirmed]; VAT is added at the applicable rate. Unless otherwise stated in the quote, a deposit of [50%, to be confirmed] is due on order and the balance on delivery. Payment is made by bank transfer or by card via Stripe, within [30 days, to be confirmed] of the invoice date.

Any late payment automatically incurs penalties at the European Central Bank rate plus 10 percentage points, and a fixed recovery fee of 40 euros (Article L.441-10 of the French Commercial Code). 1600 may suspend work until full payment.

6. Cancellation

If the client cancels the project after ordering, the deposit is kept by 1600 and work already carried out beyond the deposit is invoiced.

7. Intellectual property

Upon full payment, 1600 assigns to the client the rights to reproduce, represent, distribute and adapt the delivered video, for any medium, worldwide and for the legal term of protection. Until full payment, the video remains the property of 1600.

Working files (project files, rushes, unused versions) remain the property of 1600 unless otherwise agreed. Music, fonts, stock images and voices are licensed under the terms of their owners, as stated in the quote. The client guarantees that it holds the rights to the elements it provides.

8. References

Unless the client objects in writing, 1600 may mention the client’s name and logo and show the delivered video in its portfolio and communication, after its public release.

9. Client commitments

The client undertakes not to use the videos for unlawful purposes, not to alter the image of the people appearing in them, and not to harm the image of 1600.

10. Liability

1600 is bound by an obligation of means. It cannot be held liable for indirect damage (loss of revenue, business or image), nor for issues caused by the client or a third party. In any event, its liability is limited to the amount of the quote concerned.

11. Subcontracting and non-solicitation

1600 may subcontract all or part of a project while remaining responsible for it. The client undertakes not to hire or directly solicit 1600’s team members or subcontractors involved in its project during the project and for 2 years after delivery.

12. Confidentiality

Each party keeps confidential the information it receives from the other during the project, for its duration and for 2 years after it ends.

13. Force majeure

Neither party is liable for a failure caused by force majeure as defined by Article 1218 of the French Civil Code. If it lasts more than 60 days, either party may terminate the contract.

14. Personal data

Personal data is processed as described in our Privacy policy.

15. Applicable law and disputes

These Terms are governed by French law. The parties will first seek an amicable solution. Failing that, any dispute falls under the exclusive jurisdiction of the courts of Paris. The French version of these Terms is the only legally binding version; this translation is provided for convenience.
